REPAY Terms and Conditions
This document provides you information on the online and IVR payment gateway of M & A Ventures, LLC d/b/a REPAY (“REPAY”). It outlines important terms and conditions that apply to your use of the REPAY website and related payment services (collectively, the “REPAY Solution”). Merrimack Valley CU (“Biller”) has engaged REPAY to provide the REPAY Solution. The REPAY Solution is subject to the consumer financial regulations described in the Electronic Fund Transfers Act, which include disclosure requirements. When you use the REPAY Solution, you (and any person you authorize to perform these functions on your account) agree to these terms and conditions.
Convenience Fees
You may be charged a “convenience fee” to process a payment through the REPAY Solution. This convenience fee is paid directly to REPAY and is not refundable. The Biller does not receive any portion of the convenience fee. REPAY will display the convenience fee prior to you entering banking
or debit card information. The convenience fee is included in the "Total Payment" line above. Convenience fees and payments made on-line and via IVR take two to four business days to post to your account. By clicking the "Accept" button below, you hereby confirm your acceptance of the convenience fee and agree to pay the "Total Payment" amount indicated, subject to and in accordance with the agreement governing the use of your debit card or your bank account, as applicable.
Authorization and Payments
Completion of a payment transaction is contingent upon both the authorization of payment by your card company or financial institution and acceptance of your payment by the Biller. This payment is non refundable. You are responsible for having sufficient funds available in your account to cover any amount you approve for payment. If you do not have sufficient funds in your account, your payment may not be processed. In the event your payment is not processed for any reason, including the failure to obtain an authorization from your card company or financial institution or the failure of the Biller to accept your payment, your liability shall remain outstanding and unpaid and you will be subject to all applicable penalties, late fees and interest charges assessed by the Biller thereon, all of which obligations remain your sole responsibility.
Privacy/Data Security
When registering to use this site, making a payment or contacting REPAY through this site, you agree to provide accurate and complete information about yourself and your payment obligation(s). REPAY is committed to ensuring the security of your personally identifiable information. We will take reasonable precautions to protect this information from loss, misuse, unauthorized disclosure or alteration, including, putting in place appropriate physical, electronic and administrative procedures to safeguard and secure such information. Encryption is used when collecting or transferring sensitive data (e.g., card information). REPAY will never disclose any personal information about you to a third party (other than Biller) unless required to do so by law or card association rule.

Ownership, Trademarks and Copyrights; Confidentiality
REPAY owns all right, title and interest, including, without limitation, copyright, in and to the REPAY Solution (including the REPAY website). You may not copy, modify, translate, decompile, reverse engineer, reproduce, adapt or disassemble the REPAY Solution. The display of any trademarks within the REPAY Solution does not grant a license or other rights of any kind in those marks to the reader. Any downloading of material contained on the site, or on any site linked to the site, may be a violation of federal trademark and copyright laws.
Disclaimer of Warranties and Limitation of Liability
This site is provided by REPAY on an "as is" and "as available" basis. REPAY makes no representations or warranties of any kind, express or implied, as to the operation of this site or the information, content, materials, products or services included on this site. You expressly agree that your use of this site is at your sole risk and that you are solely responsible for the accuracy of the personal and payment information that you provide. To the full extent permissible by applicable law, REPAY disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, REPAY does not warrant that this site, its services or e-mail sent from REPAY are free of viruses or other harmful components. REPAY (as well as its officers, directors, employees, affiliates and owners) will not be liable for any damages of any kind arising from the use of this site, any payment company's non-authorization of a user's payment, any government entity’s non-acceptance of a payment from a party using this site or for disruptions in service on this site, regardless of the cause, including (without limitation) direct, indirect, incidental, punitive and consequential damages. REPAY assumes no responsibility for the timeliness, deletion, mis-delivery, failure to store any user communications or personalized settings. REPAY assumes no responsibility for and will not be liable for any damages from any viruses, which may affect your computer equipment or other property on account of your access to, use of, or downloading from this site. Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. Changes in Terms and Conditions
REPAY reserves the right to make changes to the REPAY Solution (including, without limitation, discontinuing this site or the services offered on this site) and these Terms and Conditions at any time, with or without notice. If any of these terms and conditions shall be deemed invalid, void or for any reason unenforceable, that term or condition shall be deemed severable and shall not affect the validity and enforceability of any remaining term.
